Standard License Agreement - in Brief

By purchasing wedding stock images and video from WeddingPhotoStock.com you have contractually agreed to the following

• Use of the image/video is granted for one year from the date of purchase
• One time use and one time deployment of the image/video in a single media - no multiple deployment on web sites and/or printed material
• You agree to use the image/video in accordance with the resolution and web page views or print circulation specified when making a purchase

If , for example, you require the same image for use on a web site AND in a brochure you must ensure that you have made a purchase for each use of the same image. All material is available for instant download immediately following payment. All files are made available at high resolution - it is your responsibility to ensure that the images/video are used at the resolution for which you made payment. Images may be cropped and resized as long as you do not exceed the resolution for which you paid for.

If your intended use of the image/video falls outside of this Standard License Agreement you will need to purchase the material under the Enhanced License Agreement. If you are unsure about the payment options please contact us for advice giving full details of the intended use.

NOTICE TO USER - THIS IS A LEGAL AGREEMENT BETWEEN YOU (“LICENSEE”) AND WEDDINGPHOTOSTOCK.COM. WHEN BUYING IMAGES OR VIDEOS, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

If you are puchasing image and video reproduction rights on your employers behalf, you do so on the understanding that your employer is bound by the terms and conditions in this agreement. If your are purchasing photo stock from WeddingPhotoStock.com on behalf of a client then both the client and yourself are responsible for correct payment and use of any images and video material. WeddingPhotoStock.com retain the right to update, modify or alter the terms and conditions of this license agreement and the licensee agrees to be bound by such changes.

WEB SITE OWNERSHIP

This web site is owned and operated by WeddingPhotoStock.com. The images, video, layout, design and content are copyrighted and protected by international laws relating to intellectual property.

PERMITTED USE UNDER THE STANDARD LICENSE

• Stock images or video may not be used in any way until full payment has been made. If payment fails for whatever reason (eg credit card charge back) your right to use our material is immediately terminated unless WeddingPhotoStock.com receive payment within 15 days, which will include collection costs and bank/credit card charges.
• The licensee is granted non-exclusive and non-transferable use of the image or video subject to the provisions in the Enhanced License
• The licensee may use the image for one year from the date of purchase.
• The licensee is granted one time usage and deployment rights.
• File sizes and resolution may differ slightly from that stated on the web site.
• The licensee agrees to deploy the material at a resolution no larger than what has been paid for
• The licensee agrees not to exceed the agreed web page views or print circulation.
• You may alter and crop the images as desired. WeddingPhotostock retains all rights on altered or derivative artwork from our images

PROHIBITED USE UNDER THE STANDARD LICENSE

• Do not re-license, lease, sub license or rent any purchased images or videos.
• Use of purchased images or video in any defamatory, pornographic or obscene way, either directly or indirectly.
• Use of purchased materials which compromises a depicted persons right to privacy or publicity.
• Use of the images and video which may infringe on trade marks, trade names or service marks.
• Archiving, republishing and transmitting the purchased files on databases, networks, or bulletin boards in a downloadable form.
• Allow an image marked for 'Editorial Use' to be used commercially without permission from WeddingPhotostock.com
• Any distribution of the image or video which allows use by anyone else apart from authorised user
• To use any image in an electronic template or application, including those that are web based , where the purpose is to create multiple impressions of an electronic or printed product, including, but not limited to, web site designs, presentation templates, electronic greeting cards, business cards or any other electronic or printed matter without obtaining an Enhanced License for such purpose.
• To allow the images and video to be used by a business which promotes, sells, or licenses images and video, or that competes in any manner with WeddingPhotoStock.com
  

CREDIT

Editorial use of any material should must be credited to www.WeddingPhotoStock.com.

TERMINATION

WeddingPhotoStock.com reserves the right to automatically terminate the license contained in this agreement without notice if you, or your employer, fail to comply with any provision of this agreement. Upon termination, you and your employer must immediately stop using the wedding stock, delete the wedding stock and any copies from your system. WeddingPhotoStock.com reserve the right to discontinue the use of any stock material for any reason and elect to replace the files with an alternate.

CANCELLATION POLICY

For cancellation and refunds please contact us by email in the first instance to raise the issue

INDEMNITY

The licensee agrees to indemnify WeddingPhotoStock.com against any liabilities, claims,costs, damages and expenses, including reasonable legal fees arising from misuse of any purchased wedding stock or stock video and any breach of this agreement.

GENERAL DISCLAIMERS

WeddingPhotoStock.com supplies no warranties or rights in respect of trademarks, names, logos, copyrighted or registered designs and works of art contained in the purchased wedding stock. The licensee should satisfy themselves that all necessary permissions have been secured with respect to use of the work. WeddingPhotoStock.com have captioned the wedding stock with all reasonable care and attention but cannot be held responsible for incomplete or erroneous information on captions.

Signed Model Releases exist for all pictures of the Bride and Groom by themselves and with each other, as indicated throughout the web site. Wedding stock which contains other identifiable persons is for Editorial Use only.

Digital wedding stock is supplied on as 'as is' basis. WeddingPhotoStock.com gives no warranties or representation, implied or expressed, on the suitability, merchantability, quality or compatibility of our products for you purposes. Further, WeddingPhotoStock.com cannot give warranties that your use of this web site will be error free and uninterrupted. Your use of this web site is entirely at your own risk.

LIMITATION OF LIABILITY

WeddingPhotoStock.com cannot be held liable for indirect, direct, punitive, incidental or consequential damages arising from your use of this site, or use of the wedding stock files purchased from this site. The limit of liability of WeddingPhotoStock.com is restricted to the purchase price of the wedding stock material

COPYRIGHT BREACH - RETROACTIVE LICENSE FEE - UNAUTHORISED USE

Any unauthorised use of our digital wedding stock outside the terms and conditions of this agreement constitutes a copyright infringement. Individuals or businesses found to be in breach of copyright will entitle WeddingPhotoStock.com to issue a retroactive license agreement . The fee for such an agreement is a minimum of $800 or 5 times the usage fee, whichever is greater, plus administration, processing and third party enforcement fees. Failure to pay the retroactive license agreement will result in WeddingPhotoStock.com in enforcing legal action for breach of copyright. We also reserve the right under the DMCA (Digital Millennium Copyright Act) to request removal of offending web sites from all the major search engines including Google

NON ASSIGNMENT

WeddingPhotoStock.com license agreements are non transferable and cannot be assigned to a third party

WAIVERS

Any waiver of parts of this agreement must be agreed in writing by WeddingPhotoStock.com. Any waiver given can only be applied to specified files and should not be taken in a general sense against future purposes.

ENTIRE AGREEMENT

The invoice and this agreement contains the full terms and conditions for wedding stock use between the Licensee and WeddingPhotoStock.com. Nothing can be deleted or appended without express written permission. Should inconsistencies arise between the terms contained on Licensee's purchase orders or paper work and the terms contained herein, this license agreement shall take precedence.
